These Terms and Conditions govern participation in the SupaEasy Partner Program (the “Program”) offered by SupaEasy for its Shopify app. By applying to, enrolling in, or participating in the Program, each partner (“Partner”) agrees to be bound by these Terms and Conditions.

1. Program Overview

The Program allows approved Partners to refer merchants to SupaEasy and earn commission on eligible referrals in accordance with these Terms and Conditions.

SupaEasy reserves the right to approve, reject, suspend, or remove any Partner from the Program at its sole discretion.

2. Eligibility and Enrollment

To participate in the Program, the Partner must provide accurate, complete, and current information during signup and keep payment and account information up to date at all times.

Participation is personal to the approved Partner. The Partner may not assign, transfer, sublicense, or otherwise delegate any rights or obligations under the Program without prior written consent from SupaEasy.

3. Referral Commission

Partners are eligible to receive a commission equal to 20% of net amounts actually received by SupaEasy from a referred merchant’s paid plan, unless otherwise agreed in writing.

A referral is considered eligible only when:

  • the merchant is a new customer to SupaEasy;
  • the merchant used the Partner’s approved referral link, code, or other tracking method recognized by SupaEasy;
  • the merchant activates a paid plan for the SupaEasy Shopify app; and
  • the transaction is valid, fully paid, and not subject to fraud, reversal, chargeback, dispute, or refund.

Commission on each eligible referred merchant lasts for up to 12 months starting from the merchant’s activation of a paid plan. After that 12-month period, the referral expires and no further commission will be owed for that merchant unless SupaEasy agrees otherwise in writing.

4. Untracked Referrals

If a referral was not automatically tracked, the Partner may request a manual review and addition of the referral into the system.

Any such request must be submitted no later than 30 days after the merchant activated a paid plan. After that 30-day period, SupaEasy may refuse to add the referral manually.

The Partner must provide reasonable supporting evidence requested by SupaEasy, and SupaEasy’s determination on whether to credit an untracked referral will be final.

5. Minimum Payout and Payment Method

The minimum payout threshold is $60 USD. If the Partner’s approved commission balance is below $60 USD, the unpaid amount will roll over until the threshold is reached.

All payouts are made only through PayPal. The Partner is solely responsible for maintaining a valid PayPal account and for ensuring that all PayPal payment details provided to SupaEasy are accurate and current.

SupaEasy may withhold, defer, adjust, or cancel payouts for invalid transactions, suspected fraud, policy violations, chargebacks, refunds, tax issues, or compliance reviews.

6. Partner Conduct

The Partner must act honestly, lawfully, and in good faith at all times in connection with the Program.

The Partner must not:

  • represent or imply that it is an employee, agent, representative, joint venturer, or legal partner of SupaEasy;
  • state or suggest that it is “working for” SupaEasy or authorized to make commitments on behalf of SupaEasy;
  • mislead merchants about SupaEasy’s product, pricing, features, support, or policies;
  • use deceptive, fraudulent, manipulative, or unfair methods to generate referrals or commissions;
  • attempt to trick, game, exploit, or interfere with the affiliation, attribution, tracking, or payout systems in any way;
  • self-refer, create fake accounts, use stolen identities or payment methods, or otherwise generate sham transactions;
  • infringe any intellectual property rights belonging to SupaEasy or any third party; or
  • engage in any conduct that could harm SupaEasy’s reputation, business, merchants, or other partners.

7. Intellectual Property and App Cloning

Except for any limited marketing materials expressly provided by SupaEasy, no license or ownership rights are granted to the Partner in SupaEasy’s app, brand, software, content, trademarks, trade dress, designs, code, business model, or other intellectual property.

The Partner must not copy, clone, reproduce, reverse engineer, imitate, create derivative works from, or attempt to develop a competing product based on the SupaEasy app, except to the extent such restriction is prohibited by applicable law.

The Partner may not register or use any business name, domain, social media handle, ad copy, or branding that is confusingly similar to SupaEasy.

8. Brand Use

The Partner may use SupaEasy-approved names, logos, and promotional materials only for the purpose of participating in the Program and only in the form provided or approved by SupaEasy.

SupaEasy may revoke this limited permission at any time. The Partner must promptly stop using SupaEasy brand assets upon request or upon termination of participation in the Program.

9. Taxes and Fees

The Partner is solely responsible for all taxes, reporting obligations, bank charges, PayPal fees, currency conversion fees, and other governmental or transaction-related charges arising from commissions paid under the Program.

SupaEasy may request tax forms, invoices, or identity verification documents before issuing payouts where legally or operationally required.

10. Termination and Suspension

SupaEasy may suspend or terminate the Partner’s participation in the Program at any time, with or without cause, including for suspected abuse, fraud, breach of these Terms and Conditions, inactivity, reputational risk, or legal compliance reasons.

Upon termination, the Partner must immediately stop promoting itself as a SupaEasy partner and stop using SupaEasy referral links, trademarks, and promotional materials.

Any unpaid commissions may be forfeited if they relate to prohibited conduct, fraudulent activity, breaches of these Terms and Conditions, or transactions later determined to be invalid.

11. No Employment or Agency Relationship

Participation in the Program does not create any employment, agency, franchise, joint venture, fiduciary, or partnership relationship between SupaEasy and the Partner.

The Partner has no authority to bind SupaEasy, negotiate on SupaEasy’s behalf, offer warranties or promises for SupaEasy, or represent that it has any formal role within SupaEasy.

12. Limitation of Liability

To the maximum extent permitted by law, SupaEasy will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities arising out of or relating to the Program.

SupaEasy’s aggregate liability arising out of or related to the Program will not exceed the total commission paid or payable to the Partner in the 6 months preceding the event giving rise to the claim.

13. Changes to the Program

SupaEasy may modify, suspend, or discontinue the Program, or amend these Terms and Conditions, at any time by posting updated terms or otherwise notifying Partners.

Continued participation in the Program after any update becomes effective constitutes acceptance of the revised Terms and Conditions.

14. Governing Principles

These Terms and Conditions are intended to govern the commercial relationship between SupaEasy and each Partner in a clear and fair manner. If any provision is held unenforceable, the remaining provisions will remain in full force and effect.
